WaveMaker Inspired Student Engineer Participant specific Terms and Conditions

This license for WaveMaker aPaaS/Software/Service (“SERVICE”) is designed to guarantee freedom to use the Software/Service for academic purposes. WaveMaker grants the recipient a royalty-free, non-exclusive, and non-transferable license to use the Software/Service furnished hereunder, upon the terms and conditions set out below.

Terms and Conditions

This Program is available only to individuals who meet the criteria described below:

Individual must be either a full/part-time enrolled student, or a faculty / staff member of a qualified, accredited higher education institution. Alumni of these institutions aren’t eligible. Qualified, accredited higher education institutions include Universities, Polytechnic schools, and Institutes of Technology, as well as other post-secondary level institutions, such as colleges and vocational schools that award academic degrees or professional certifications. Restrictions may vary by country.

Individuals must successfully verify their eligibility status through the website’s (www.wavemaker.com/students) online academic verification process; OR a process through which WaveMaker reserves the right to contact you directly or through an appointed WaveMaker vendor to verify that you are an eligible student. WaveMaker will have sole discretion to determine the sufficiency of any documentation that you provide to verify you are an eligible student. By providing eligibility-related information to WaveMaker’s appointed vendor, you agree that the vendor may share such information with WaveMaker for Program-related purposes.

This is a legal agreement between you (the recipient) and WaveMaker Inc. By accepting, receiving, and using this SERVICE, you are agreeing to be bound by the terms of this Agreement.

The recipient agrees to use the SERVICE solely for non-commercial learning and teaching and shall not distribute or transfer it to another location or to any other person without prior written permission from WaveMaker.

The recipient must guarantee the sponsor information, if provided by WaveMaker, is placed under the domain of the institute web site and must be accessible on the Internet during the licensing period. Any attempt to remove the sponsor information without prior notifying WaveMaker may result in a dismissal of partnership.

You may make a copy of the Software/Service developed on WaveMaker solely for use as backup and not to be sold, loaned, leased, gifted, or otherwise transferred or used by any other person. You may make additional copies of the User Documentation for internal purposes.

The academic license starts effective from the date a subscription is approved by WaveMaker as defined in the MOU with the representing INSTITUTION and lasts for the period defined in the MOU. WaveMaker is under no obligation to extend any academic license to longer period of time.

Title and copyright to the Software/Service and any associated documentation shall at all times remain with WaveMaker, and the recipient agrees to preserve the same. The recipient agrees not to make any copies except for its internal use without prior written consent of WaveMaker.

Every publication and presentation for which work based on the SERVICE or its output has been used must contain an appropriate citation and acknowledgement of WaveMaker.

You may not copy, modify, sublicense, or distribute the SERVICE. Any attempt to copy, modify, sublicense, or distribute the Software/Service will automatically terminate your rights under this License.

You are not required to accept this License, since you have not signed it. However, nothing else grants you permission to use, modify, or distribute the Software/Service or its derivative works. Laws of the land prohibits these actions if you do not accept this License. Therefore, by using, modifying or distributing the Software/Service (or any work based on the Software/Service), you indicate your acceptance of this License and all its terms and conditions for copying, distributing or modifying the Program or works based on it.

NO WARRANTY

There is no warranty for the program to the extent permitted by applicable law. The copyright holders provide the program “as is” without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the program is with you. Should the program prove defective, you assume the cost of all necessary servicing, repair, or correction.

WaveMaker does not warrant that the Software/Service will be free from errors or will meet your specific requirements. You assume complete responsibility for decisions made or actions taken based on information obtained using the Software/Service. Any statements made concerning the utility of the Software/Service are not to be construed as expressed or implied warranties.

THE SOFTWARE/SERVICE IS LICENSED ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND. WAVEMAKER EXCLUDES ANY AND ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WAVEMAKER BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO ECONOMIC LOSS OF ANY KIND SUCH AS LOSS OF BUSINESS OPPORTUNITY, LOSS OF PROFITS OR SAVINGS, COSTS ARISING FROM RELIANCE ON FAULTY OUTPUT, COSTS OF CAPITAL, INJURY TO GOODWILL, LOSS OF PRODUCTIVITY OR LOSS OF OR INJURY TO PROPERTY, REGARDLESS OF WHETHER WAVEMAKER IS ADVISED, HAS OTHER REASON TO KNOW, OR KNOWS OF THE POSSIBILITY THEREOF.
